Job Description

Job Purpose: Provide high-level administrative and organizational support to the Board Secretariat Division, ensuring smooth execution of board secretarial functions. The role involves assisting with preparation and coordination of Board and Committee meetings, maintaining accurate records, supporting compliance with governance standards, and leveraging technology tools (e.g., Diligent board management system) to enhance efficiency. Discretion, attention to detail, and confidentiality are essential.

Key Responsibilities

  • Manage and organize the Group Board Calendar and schedule all Board and Committee meetings.
  • Coordinate agendas, meeting notifications, and distribution of materials.
  • Handle logistical arrangements, venue booking, and travel for Board members.
  • Ensure timely preparation and circulation of documentation for meetings.
  • Maintain accurate records of Board and Committee meetings and decisions.
  • Assist in developing and maintaining annual Board calendars and work plans.
  • Manage remuneration and fee payments for Board members.
  • Provide administrative support to independent and executive directors.
  • Support induction programs for new Board members and organize training sessions.
  • Arrange educational training sessions for Board and Committee members.
  • Assist in organizing annual evaluations of the Board and its Committees.

Qualifications & Experience

  • Diploma or Bachelor’s degree in Business Administration or related field.
  • 15+ years of administrative or secretarial experience, preferably in corporate/legal settings.
  • Familiarity with corporate governance principles and board secretarial functions.
  • Strong organizational and time management skills.
  • Excellent communication and interpersonal skills.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Ability to handle confidential information with discretion.
  • Proactive and detail-oriented with a strong sense of responsibility
