Job Purpose
To provide strategic and operational legal support to the holding group and its subsidiaries on corporate, commercial, and transactional matters. The Senior Legal Counsel ensures legal compliance, risk mitigation, and governance, while supporting complex deals, corporate structuring, and regulatory approvals in line with Saudi law and corporate governance standards.
Key Responsibilities
1. Corporate & Governance

Advise on company structure, corporate governance, and compliance with Saudi Companies Law and other applicable regulations.

Draft, review, and approve board and shareholder resolutions, powers of attorney, and corporate filings.

Support corporate secretarial matters, including compliance with internal policies and regulatory authorities.
2. Transactional & Commercial

Lead and advise on M&A, joint ventures, investment agreements, restructuring, and capital transactions.

Draft, review, and negotiate complex commercial contracts (MOUs, Term Sheets, NDAs, SPAs, SHAs, Discloser Letters, EPC contracts, tender/procurement/supply agreement, SLAs, distribution agreement, software licensing).

Manage deal due diligence, risk assessment, and legal documentation.
3. Risk Management

Identify and mitigate legal and regulatory risks for the group.

Advise on potential liabilities and risk exposure in contracts, transactions, and corporate decisions.

Recommend practical risk management strategies and internal controls.
5. Coordination & Leadership

Liaise with internal departments, subsidiaries, and external counsel.

Supervise and mentor junior and mid-level legal staff.

Act as the primary legal point of contact for complex projects and high-value transactions.
6. Dispute Resolution & Litigation Support from time to time

Advise on dispute resolution, arbitration, and litigation strategy.

Coordinate with external counsel for ongoing or potential disputes.

Review and manage settlement agreements and dispute outcomes.
Qualifications & Experience

Law degree (LLB or equivalent); additional qualifications (LLM, DEA, or specialized certification) preferred.

6-7+ years of experience in corporate/transactional law, ideally with interanion law firms or in-house experience in a holding group or large corporation.

Familiarity with KSA or GCC regulatory system is preferred.

familiarity with French/common law is desirable.

Proven experience in negotiating complex contracts and managing corporate transactions.
