Summary

The Legal and Tax Compliance Consultant provides comprehensive support in legal and tax matters, ensuring adherence to corporate legal standards and tax regulations across all business operations. This role contributes to the development and optimization of business strategies, providing support for documentation, implementation, contracts, research, and client-facing deliverables. The Legal and Tax Compliance Consultant will provide general legal and operational support for all company clientele, including implementation, contract and documentation support, and corporate structure. This position will also support the Legal Director and the legal team’s needs in all legal affairs, including, but not limited to, in labor, litigation, corporate, and/or compliance matters.

Responsibilities:

As the Legal and Tax Compliance Consultant, your responsibilities will include, but are not limited to:

  • Collaborate with the company’s departments to ensure legal compliance in all company client structures and strategies.
  • Ensure all the company clients meet ongoing economic substance requirements.
  • Lead the development of strategic roadmaps, recommendations, structuring, implementation, and strategies for clients.
  • Prepare and deliver presentations to clients on business strategies and organizational structures.
  • Respond to client questions and concerns.
  • Collect, verify, and process client information and needs to complete all required transactions.
  • Interface with the client and their personnel to obtain information and deliver projects.
  • Monitor and document client progress.
  • Assist with the client’s tax compliance needs and update the tax reports as needed.
  • Apply tax and legal technical knowledge to specific client situations.
  • Develop and draft contracts and legal documents, including but not limited to Independent Contractor Agreements, PRS Services Agreements, Buy-Sell Agreements, Membership Certificates, Redemptions and Resolutions, and Suspense and Termination Agreements.
  • Maintain corporate records and documents.
  • Create and/or document policies, procedures, and programs.
  • Track and manage deadlines and key steps in any service or legal issues.
  • Structure, draft, review, and analyze reports and other legal documents, as needed.
  • Guide managers with grants, rules, and regulations.
  • Clearly communicate work plan and project objectives to clients and cross-functional teams.
  • Participate as part of a cross-functional team.
  • Independently examine and interpret legal documents related to ongoing litigations and assist in complex HR matters.
  • Perform other projects as assigned by Management.
  • Support the company's Legal Director in all legal matters, including, but not limited to, labor, corporate, compliance, and litigation.
  • Aid in sourcing and coordinating external resources to support legal or litigation needs.
  • Provide direct assistance to the company’s Legal Director in overseeing and supporting the company's outside counsel in any litigation processes.
  • Investigate, research, and analyze a wide spectrum of legal issues and business challenges to support informed decision-making.
  • Offer feedback to the Legal Director and the company’s Manager regarding client needs and, when necessary, develop and generate strategies to address them.
  • Conduct research and analysis of a wide range of corporate law, tax law, Uniform Commercial Code, business transactions, and legal issues.
  • Assist the Legal Director with the training of new team members.

Qualifications

  • Education and Experience: Juris Doctor degree required, with a preference for candidates experienced in business law, tax law, and finance. A minimum of five (5) years of professional experience in a law firm, in-house legal department, or corporate/accounting environment is expected.
  • Legal Knowledge: Strong understanding of Puerto Rico corporate and tax law, with the ability to apply legal principles effectively to complex business situations.
  • Communication Skills: Exceptional verbal and written communication abilities in English, complemented by strong presentation skills and the capacity to explain complex information clearly.
  • Professional Attributes: Highly motivated, creative, and adaptable professional, capable of thriving in fast-paced and high-intensity environments.
  • Attention to Detail: Meticulous and detail-oriented, demonstrating a high level of accuracy in documentation, data entry, and analytical work.
  • Project Management: Proven ability to manage multiple projects and deadlines simultaneously, maintaining focus and efficiency with minimal supervision.
  • Interpersonal Skills: Excellent interpersonal and organizational skills, with the ability to work effectively both independently and collaboratively as part of a team.
  • Problem-Solving: Strong analytical and problem-solving abilities to assess legal and business issues and propose sound solutions.

Job Type: Full-time

Pay: $54,400.00 - $64,500.00 per year
