Job Overview:

We are seeking a highly skilled and experienced Company Secretary (CS) to join our growing team. The ideal candidate will possess a strong background in corporate governance, compliance, and legal matters, with specific expertise in Initial Public Offerings (IPOs) and securities regulations. The CS will play a critical role in ensuring the smooth running of corporate operations while adhering to statutory requirements, corporate policies, and best governance practices.

Key Responsibilities:Corporate Governance:

  • Ensure that the company complies with statutory and regulatory requirements as per the Companies Act and other relevant regulations.
  • Provide expert legal advice and guidance to the Board of Directors, management, and senior leadership on governance and compliance matters.
  • Organize and attend board meetings, general meetings, and committee meetings, ensuring that accurate minutes are taken and filed.
  • Oversee and manage corporate records, ensuring proper documentation and filing of resolutions, contracts, and corporate filings.

IPO & Securities Listing:

  • Assist in the IPO process from preparation to execution, including liaising with legal teams, auditors, investment banks, and regulators.
  • Manage the listing process with the relevant stock exchange(s), ensuring compliance with listing rules, regulatory filings, and disclosures.
  • Coordinate the drafting, review, and submission of the Prospectus/Offering Document, ensuring it meets all regulatory requirements.
  • Monitor ongoing compliance with securities laws and stock exchange listing rules, including post-IPO governance requirements.
  • Manage and track key milestones of the IPO process, ensuring timelines and deadlines are met.

Compliance & Regulatory Filings:

  • Ensure timely and accurate submission of all required regulatory filings, including annual returns, financial statements, and other statutory reports.
  • Oversee the preparation and filing of documents related to the company’s regulatory obligations, such as shareholder communications, compliance certificates, and regulatory disclosures.
  • Maintain up-to-date knowledge of changes in laws and regulations that may impact the company’s operations, particularly with respect to securities and corporate governance.

Investor Relations & Shareholder Communication:

  • Manage communications with investors, shareholders, and regulatory authorities.
  • Assist in the preparation of reports for shareholders, including Annual Reports and Proxy Statements.
  • Coordinate the AGMs (Annual General Meetings) and EGMs (Extraordinary General Meetings), ensuring compliance with corporate governance standards.

Legal & Advisory Support:

  • Advise on legal matters related to corporate transactions, mergers and acquisitions, and other corporate restructuring activities.
  • Work closely with the legal department to ensure alignment in legal strategies and corporate governance.
  • Support the development of company policies, procedures, and best practices in line with corporate governance frameworks.

Key Requirements:Education & Qualifications:

  • Qualified Company Secretary (CS) with membership of the Institute of Company Secretaries.
  • Bachelor’s degree in Law, Finance, Business Administration, or related field.
  • Additional certifications in securities law or capital markets is a plus.

Experience:

  • Minimum of 5-7 years of experience as a Company Secretary or in a similar legal/compliance role.
  • Proven experience in managing IPO processes and stock exchange listings.
  • Strong understanding of corporate governance practices and securities laws.
  • Hands-on experience in regulatory filings and corporate compliance in both pre- and post-IPO scenarios.

Skills:

  • Excellent knowledge of securities regulations, corporate governance codes, and financial disclosure requirements.
  • Strong communication skills, both written and verbal, with the ability to engage with internal and external stakeholders.
  • Exceptional attention to detail and organizational skills.
  • Ability to work under pressure and manage multiple deadlines, especially in the context of an IPO.
  • Strong ethical standards and a commitment to compliance and governance.

Desirable:

  • Prior experience with legal firms, investment banks, or financial institutions would be advantageous.
  • Experience in managing cross-functional teams during corporate transactions, particularly during an IPO.
  • Knowledge of international securities laws and regulations would be a plus.

Job Types: Full-time, Permanent

Pay: ₹14,575.73 - ₹56,182.90 per month
