Job Purpose: Governance professional is responsible for managing and coordinating the Governance activities of the organization to ensure that all Governance requirements pertaining to ADG’s operations are addressed in a timely manner.
Key Responsibilities:
Policies Development & Implementation
- Develop Policies & Processes for the GRC Department in line with ADG’s standards and other applicable governance and regulations.
- Ensure the availability of Policies & Processes and Delegation of Authority transactions for each function at ADG.
- Ensure the governance of ADG’s Functions to the established policies, procedures & DOA.
- Responsible for implementation of group policies, procedures & DOA.
Operational Activities
- Develop the Corporate Governance Model based on leading practice and the needs of the Group’s shareholders.
- Monitor regulatory developments and assess their impact on the organization’s operations.
- Establish and maintain policies and procedures to ensure compliance with applicable laws and regulations.
- Work closely with Finance and HR on all customer and employee-related disputes and provide guidance in developing appropriate contracts and policies.
- Review all governance documentation pertaining to ADG’s regional such as contracts and agreements.
- Collaborate with senior leaders to set the strategic direction for governance framework management aligned with business objectives
- Functional charter of the Corporate Governance Structure (outlining the areas of focus, roles, protocols), and development of specialized committees (for example remuneration and nomination committee).
- Perform ad-hoc and other duties related to the job as assigned by the Direct Manager
Corporate Governance Framework
- Support the implementation of governance frameworks, including board policies, codes of conduct, and ethical standards.
- Facilitate communication between management and the board regarding governance issues.
Governance Reports
- Maintain accurate records of governance activities, decisions, and compliance documentation.
- Ensure proper documentation for legal and regulatory purposes.
Continuous Improvement
- Recommend continuous process improvement strategies for business processes based on governance findings.
- Implement corrective actions and update policies accordingly.
- Worked on the Business Continuity Management (BCM) engagement, developing Business Impact Analyses (BIAs), to strengthen operational resilience and compliance readiness.
- Worked on Enterprise Risk management and developed and executed operational plans aligned with strategic objectives ensuring seamless KPI deployment from top to shop-floor levels.
Qualifications and Certifications
- Bachelor’s or Master degree in Finance, Law, Business , Corporate Governance, Economics or Management
- Certified Corporate Governance Professional., Chartered Governance Professional, Certified Compliance & Ethics Professional, Certified Governance, Risk, and Compliance Professional (GRC)
- With over 4years of experience in governance formulation with real estate or property management industry.
- Strong knowledge to work in system like Yardi, Microsoft Dynamics, Microsoft Visio or any other ERP.
- Analytical and problem-solving abilities
- Candidate who can join immediately will be more preferable
- Attractive salary range up to 15,000 & benefits as per UAE regulation.
