Job Title: AM / Manager – Legal

Role Summary

We are seeking an experienced Corporate Lawyer to join our Legal team. The role involves handling

corporate transactions, M&A, debt matters, and ensuring legal and regulatory compliance across the

organization. The ideal candidate will have strong exposure to Indian corporate laws, with additional

experience in education-sector compliance, including CBSE regulations.

Key Result Areas

* Draft, review, and vet corporate documents, transaction documents, management notes, and

legal case studies

* Provide legal and regulatory advisory on corporate transactions, M&A, and debt-related matters

* Manage end-to-end legal aspects of transactions, ensuring compliance with applicable laws

* Navigate and interpret real estate laws to ensure smooth execution of property acquisitions and

leases

* Draft and review debt and financing documents, including loan agreements, security documents,

and related instruments

* Ensure compliance with CBSE rules, affiliation norms, education laws, and statutory

requirements applicable to schools

* Support internal teams on school-related legal compliance, agreements, and regulatory

documentation

Key Responsibilities

* Draft and negotiate MOUs, term sheets, heads of terms, transaction documents, and other legal

agreements

* Conduct legal due diligence for corporate and investment transactions, identifying risks and

mitigation measures

* Provide strategic legal support on complex corporate, M&A, debt, and restructuring matters

* Review and prepare commercial contracts, vendor agreements, leases, and service agreements

* Assist senior management during negotiations and transaction discussions, offering legal

insights and risk assessment

* Handle CBSE-related documentation, school compliance matters, and regulatory filings

* Stay updated on changes in corporate law, IBC, FEMA, banking laws and education regulations

* Ensure adherence to internal policies, statutory requirements, and regulatory framework

Job Type: Full-time

Pay: ₹100,000.00 - ₹150,000.00 per month
