Legal – Corporate & Commercial (GCC Retail Group)

About the Role

This is a high-impact role for a strong legal professional seeking a strategic, business-facing position.

You will lead complex corporate and commercial matters across a multi-entity, multi-jurisdiction retail group, working closely with senior leadership on governance, structuring, and key transactions as the company progresses toward IPO readiness.

The role offers the opportunity to move beyond advisory into true ownership of legal outcomes , while operating at a level comparable to top-tier legal environments.

Key Responsibilities

Corporate, Structuring & Governance

• Lead corporate legal matters across group entities, aligned with Kuwait CMA frameworks and IPO-readiness requirements
• Support Board and shareholder matters, including governance documentation and resolutions
• Advise on structuring, capital changes, and cross-border arrangements

Commercial & Strategic Transactions

• Lead drafting and negotiation of high-value and complex agreements (commercial, technology, supply chain, and partnerships)
• Support strategic initiatives, including expansions, partnerships, and transformation projects
• Provide clear, commercially grounded advice to senior stakeholders

Regulatory & Risk Advisory

• Advise on regulatory frameworks across Kuwait and GCC markets
• Partner with Compliance, Risk, and Internal Audit on strengthening governance and control frameworks
• Identify legal risks early and drive practical mitigation strategies

Disputes & External Counsel

• Oversee disputes and litigation strategy with external counsel
• Manage top-tier law firms, ensuring high-quality output and efficient engagement

What We’re Looking For

• LLB; LLM or international qualification preferred
• 10+ years’ experience, with a strong foundation in a top-tier law firm (Magic Circle / international / leading regional firm)
• Experience in corporate, M&A, or commercial law with exposure to complex transactions
• Strong interest in transitioning to an in-house, business-facing leadership track
• Ability to combine legal rigor with pragmatic, commercially sound judgment
• High level of ownership, discretion, and professionalism
