The Manager of Financial Due Diligence serves as a project-focused leader and financial subject matter expert, leading buy-side and sell-side Quality of Earnings (QoE) engagements for private equity and strategic transaction clients. This role combines rigorous financial analysis with client management, delivering insights on EBITDA normalization, working capital, and key financial risks to support informed deal-making.
The Manager is responsible for driving engagements from planning through delivery, working closely with Vice Presidents/Senior Vice Presidents, clients, and cross-functional advisory teams in a fast-paced, deal-driven environment. In this capacity, the Manager leads project execution, manages client relationships, and ensures high-quality, actionable deliverables.
In addition to execution, the Manager is expected to demonstrate deep financial diligence expertise, clearly articulating findings, risks, and recommendations that influence transaction valuation and structuring decisions.
KEY RESPONSIBILITIES OF THE ROLE:
- Lead and execute buy-side and sell-side Quality of Earnings (QoE) engagements, including EBITDA normalization, revenue analysis, and working capital assessment
- Identify and evaluate financial risks, non-recurring items, and earnings adjustments impacting transaction value
- Analyze historical financial statements and conduct management presentations/interviews to assess the quality and sustainability of earnings
- Manage multiple concurrent engagements, including timelines, deliverables, and client communications
- Develop clear, concise financial reports and client-ready deliverables summarizing key findings and insights
- Collaborate with internal and external stakeholders, including private equity clients, investment bankers, and company management teams
- Support deal structuring considerations through data-driven financial insights
- Contribute to business development efforts, building relationships with private equity sponsors, investment banks, and intermediaries
- Assist in the development and mentoring of Associates/Senior Associates
- Take direction from Vice President/Senior Vice Presidents and execute accordingly
- Demonstrate strong judgment in decision-making and escalation
- Meet all established deadlines and maintain proactive communication
- Develop high-quality, error-free work and continuously seek process improvement
REQUIRED QUALIFICATIONS:- Master’s Degree in Accounting or Finance required
- Minimum 2+ years of Financial Due Diligence (FDD) experience
- Minimum 1+ year of Healthcare Financial Due Diligence experience
- Strong understanding of financial statements, EBITDA adjustments, and transaction-related accounting concepts
- Proven ability to manage multiple projects in a fast-paced, deadline-driven environment
- Excellent analytical, problem-solving, and critical thinking skills
- Strong client communication and presentation skills
- Highly motivated, detail-oriented, and able to work both independently and collaboratively
PREFERRED QUALIFICATIONS:- CPA designation
- Experience working with private equity clients and transaction advisory services
