Millennium&rsquo;s Legal department provides legal advice and guidance to the firm globally, regarding all aspects of the firm&rsquo;s business and operations. The group also handles the legal aspects of all firm initiatives, as well as numerous legally intensive projects. 
We have an opening for an Associate General Counsel and are looking for a mid-level lawyer to support and lead legal workstreams across structured credit investments, direct lending, ABS/RMBS/CMBS, synthetic risk transfers (SRT/CRT), CLO issuance, back&#8209;leverage facilities, SPV formation and governance, private credit and/or debt capital markets (DCM) transactions and other illiquid asset classes. The role is hands&#8209;on and deal&#8209;oriented: you will independently run transactions end&#8209;to&#8209;end, partner directly with investment professionals and other internal stakeholders, and manage external counsel and counterparties. Prior experience in structured finance or CLOs is highly valuable.

 Position Summary
 
 
 
 VB Spine is seeking one or more talented junior to mid-level
 
 Legal Counsel
 
 to join its expanding legal department. This is a unique opportunity to work alongside highly accomplished attorneys and contribute meaningfully to a wide range of commercial and corporate matters.
 
 
 You&rsquo;ll be part of a small, high-performing legal team in a hybrid role based in
 
 New York City,
 
 combining in-person collaboration and mentorship with flexibility and autonomy with room to take on increasing responsibility as the company grows.
 
 
 
 Key Responsibilities
 
 
 
 <ul>
 <li>
 Draft, review, and negotiate a variety of commercial agreements, including vendor, customer, service, distribution, and confidentiality contracts.
 </li>
 <li>
 Provide day-to-day legal support across general corporate matters, governance, compliance, and contract management.
 </li>
 <li>
 Collaborate cross-functionally with business teams including sales, operations, marketing, and finance to align legal risk with business goals.
 </li>
 <li>
 Help improve legal workflows, templates, and internal processes as the legal function continues to scale.
 </li>
 <li>
 Manage and coordinate with outside counsel on specialized matters as needed.
 
 
 </li>
 </ul>
 
 Qualifications
 
 
 
 <ul>
 <li>
 J.D. from an accredited law school with strong academic credentials.
 </li>
 <li>
 Licensed to practice law and in good standing in at least one U.S. jurisdiction.
 </li>
 <li>
 2&ndash;6 years of legal experience, ideally with at least 1&ndash;2 years at a nationally recognized law firm.
 </li>
 <li>
 Strong experience in commercial contracts and general corporate legal matters.
 </li>
 <li>
 Excellent communication, judgment, and organizational skills.
 </li>
 <li>
 Comfortable working in a fast-paced, dynamic environment with shifting priorities.
 </li>
 <li>
 A proactive, collaborative mindset and a desire to learn from and contribute to a strong legal team.

 Compensation And Benefits

 Base salary range of $180,000 to $250,000, depending on experience and qualifications.

Red Seat Ventures is seeking an experienced and business-savvy [Senior Vice President, Business &amp; Legal Affairs] to support legal functions across its fast-growing portfolio of media and entertainment ventures. This executive will serve as an advisor to senior leadership, managing the negotiation, drafting, and analysis of a wide range of commercial, production, talent, and strategic agreements. The ideal candidate will bring a strong blend of legal acumen and business judgment to skillfully balance creative and commercial considerations while advising RSV&rsquo;s business and creative leaders.</div><div></div><div>
A SNAPSHOT OF YOUR RESPONSIBILITIES</div><ul><li>
Negotiate and draft a wide range of agreements, including talent, content licensing, production, original programming, distribution, sponsorship, and other contracts supporting RSV&rsquo;s diverse portfolio of media, entertainment, and related businesses</li><li>
Provide strategic legal counsel to business executives throughout the acquisition, development, and production of podcasts and original programming&mdash;ensuring all activities align with company standards, legal requirements, and industry best practices</li><li>
Advise on IP, rights, and risk mitigation while partnering with internal stakeholders to manage compliance, insurance and other business considerations, and ensure seamless execution of deals</li><li>
Analyze, interpret, and advise on a variety of contractual matters, offering practical solutions and concise recommendations to support business objectives and address and resolve partner or client inquiries</li><li>
Educate and counsel internal business teams on contractual principles, negotiation strategies, and risk management to empower sound decision-making across the organization</li><li>
Mitigate legal exposure while fostering innovation and advancing RSV&rsquo;s strategic initiatives</li><li>
Ensure compliance with privacy, data security, and intellectual property standards consistent with broader FOX corporate policies and practices</li></ul><div> 
WHAT YOU WILL NEED</div><ul><li>
Juris Doctor degree from an accredited law school; active membership in the New York or California Bar strongly preferred. Candidates eligible for Registered In-House Counsel status (Rule 9.46) will also be considered</li><li>
10+ years of transactional legal experience, ideally within digital media, entertainment, or content production sectors. Law firm training and in-house counsel experience at a major media or streaming company</li><li>
Prior law&#8209;firm entertainment practice or in&#8209;house counsel at a major media/streaming company, negotiating podcasting, talent, production, licensing, and distribution deals</li><li>
Proven expertise in negotiating, drafting, and closing complex agreements, including production, talent, licensing, distribution, and sponsorship deals</li><li>
Exceptional analytical and strategic thinking skills, with the ability to interpret complex legal issues and translate them into practical, business-oriented solutions</li><li>
Strong executive presence and refined communication skills, capable of influencing and advising senior business executives</li><li>
Demonstrated leadership and judgment under pressure, with the ability to navigate competing priorities in a fast-paced environment</li><li>
Collaborative and business-minded approach, with the ability to build trust across teams, and contribute to a culture of partnership and innovation</li></ul><div>

Pursuant to state and local pay disclosure requirements, the pay rate/range for this role, with final offer amount dependent on education, skills, experience, and location is $352,000.00-460,000.00 annually.
