</b></p><p>The Assistant General Counsel assists the General Counsel and Deputy General Counsel in representing the legal interests of Safe Horizon, including contractual, real estate, policy, litigation, regulatory, employment, not-for-profit governance, and tax-related matters. Safe Horizon is seeking an experienced attorney who will report directly to the General Counsel, with some dotted-line reporting to the Deputy General Counsel. The Assistant General Counsel will assist with the overall management of the general legal affairs of the organization. This position is a full-time position.</p><br>

<p><b>
Responsibilities:
</b></p><ul><li>Advise General Counsel, Deputy General Counsel, senior management and others within the organization on nonprofit corporate, tax, compliance, intellectual property, governance, benefits, litigation, and employment law issues;</li>
<li>Draft, review, revise, and negotiate a variety of contracts, such as agreements with government funders and other third parties, vendor and consultant agreements, and agreements relating to ownership of intellectual property, corporate sponsorships, special events, licensing, real estate and leases, among other things, and advise senior management on related issues;</li>
<li>Support and engage in the antiracism work of Safe Horizon and the General Counsel&rsquo;s Office;</li>
<li>Assist General Counsel with ensuring organizational compliance with contracts, regulations and applicable law, such as lobbying, regulatory and public policy matters and laws relating to charitable solicitations in New York State and nationally;</li>
<li>Oversee the management of Safe Horizon&rsquo;s insurance portfolio and advise on risk management, liability, and insurance matters;</li>
<li>Monitor and advise the General Counsel, Deputy General Counsel, and others on legislative developments related to nonprofit organizations, including human resources and benefits-related legislation;</li>
<li>Analyzing statutes, regulations and procedures;</li>
<li>Supervising responses to subpoenas and requests for confidential organizational information;</li>
<li>Assist with supervision of interns, volunteers and fellows;</li>
<li>Communicating independently with outside counsel and representatives of outside funding and/or regulatory agencies;</li>
<li>Monitoring and managing litigation;</li>
<li>Developing and delivering trainings and workshops for staff;</li>
<li>Representing the corporation in court and administrative hearings;</li>
<li>Performing other duties as assigned;</li>

The Assistant Vice President, Global Capital Solutions Legal, will be responsible for providing day-today legal support for Ares Global Capital Solutions (AGCS) business, which works across various Ares&rsquo;s global business lines and strategies managing the firm&rsquo;s global banking and non-traditional lending relationships, capital needs, participating through its registered broker-dealer, Ares Management Capital Markets, LLC (AMCM) in various capital markets transactions, and overseeing the firm&rsquo;s hedging programs. The Ares Legal team is responsible for advising on a wide range of legal matters as the Ares Legal team guides Ares' business through an evolving and complex financial, legal, and regulatory environment across the multiple jurisdictions in which we operate. The ideal candidate will work with directly with colleagues within AGCS, AMCM, applicable investment deal teams embedded within the firm&rsquo;s various business lines, Ares Strategy, and others within the Ares Legal, Compliance and Regulatory departments.</div><div></div><div>
Experience with legal and regulatory matters related to broker-dealer capital markets transactions is required, as well as experience advising on applicable broker-dealer and regulatory issues under the federal securities laws under the Securities Act, and the Exchange Act, and a working knowledge of relevant requirements under the Investment Company and Investment Adviser Acts, respectively. Ideally, the candidate will have substantive capital markets experience at a large law firm, or in-house legal experience supporting similar capital markets business for a complex investment bank or similar financial institution. Primary functions &amp; responsibilities</div><ul><li>
Support GCS in connection securities and loan capital markets transactions, on a best efforts and firm commitment basis</li><li>
Actively participate in the global expansion of the AGCS business, including providing guidance and assisting with the creation of an updated framework that accounts for key legal, regulatory and risk considerations in a scalable and responsible manner</li><li>

Assist in advising on applicable federal securities laws and FINRA requirements related to the involvement of AMC in capital markets transactions, and partner with outside counsel, as applicable to identify and address key issues</li><li>
Partner closely with Ares&rsquo; Fund and Investment Legal team members, and related stakeholders within the Compliance and Regulatory teams to navigate key legal, regulatory and risk considerations as it relates to specific capital markets transactions involving AGCS and the continued evolution of this business for the firm</li><li>
Coordinate closely with AMCM&rsquo;s management, Fin Op and Compliance teams, and liaise with capital markets outside counsel to ensure the firm&rsquo;s policies, procedures and processes are appropriately designed to cover new deal types and regulatory and risk considerations</li><li>
Assist in advising on disclosures on a product-by-product basis to ensure participation by Ares&rsquo; affiliated broker-dealer, is regulatorily and contractually permissible and sufficiently disclosed to investors</li><li>
Work closely with Ares&rsquo; capital markets external counsel to advise on the above</li><li>

The Assistant Team Leader plays a critical role in ensuring the integrity and quality of court services delivered in Manhattan Criminal and Supreme Courts. This individual will support compliance processes across CASES&rsquo; court programs, including Supervised Release (SRP), ROAR, NCS, and NACT, while strengthening partnerships with court stakeholders and enhancing data quality systems.</p><p>
The Assistant Team Leader, Compliance, will provide mentorship and supervision to staff, monitor the accuracy and timeliness of data reporting, and support consistent and responsive communication with the judiciary and attorneys.
