Senior Legal Counsel - Corporate & International Transactions

Lahore, Pakistan

KEY RESPONSIBILITIES

Corporate Restructuring & M&A

  • Lead legal aspects of corporate restructuring, including reorganizations, divestitures, and spin-offs
  • Structure, negotiate, and execute mergers, acquisitions, and joint ventures across jurisdictions
  • Conduct due diligence and draft/negotiate key agreements (share purchase, asset transfer, merger documentation)
  • Advise on corporate governance and board resolutions for major transactions

International Transactions & Oil Blocks

  • Negotiate and structure international oil and gas acquisitions and divestitures
  • Draft/review host government agreements (production sharing, concession, and service contracts)
  • Handle oil block licensing, exploration rights, and development agreements
  • Navigate regulatory frameworks and manage relationships with national oil companies and government entities

EPCC & Project Finance

  • Structure and negotiate EPC contracts for large-scale energy projects
  • Advise on project finance structures and lending agreements
  • Manage contractor/subcontractor agreements, disputes, and claims resolution

Contract Management & Compliance

  • Develop standardized contract templates for business units
  • Ensure compliance with trade regulations, sanctions, and anti-corruption laws (e.g., FCPA)
  • Advise on environmental, health, and safety regulations
  • Manage external counsel and provide legal/compliance training to business teams

Qualification & Requirements:

  • Licensed to practice law in a relevant jurisdiction
  • LLM/LLB in International Business or Energy Law (preferred)

Experience

  • 8–12 years of corporate/energy sector legal experience
  • Proven track record in international M&A transactions in oil & gas
  • Extensive experience with oil block acquisitions and government contracts
  • Background in EPC contracts, infrastructure projects, and cross-border transactions
  • Strong knowledge of international oil & gas law
  • Expertise in production sharing/concession agreements and project finance
  • Understanding of anti-corruption and international trade regulations
  • Exceptional negotiation and drafting skills
  • Excellent communication and cross-cultural collaboration skills

Job Type: Full-time

Pay: Rs300,000.00 - Rs500,000.00 per month
