Senior Legal Manager

Role Overview

As the Senior Legal Manager, you will serve as the primary legal architect for the organization’s commercial interests. You will oversee the drafting and negotiation of complex international business contracts, facilitate high-value joint ventures, and provide strategic legal guidance on supply chain operations. Your role is critical in ensuring all domestic and international transactions comply with and global regulatory standards.

Key Responsibilities

· International Contract Management: Lead the negotiation and drafting of bilateral international business contracts, including cross-border sales, distribution, and licensing agreements.

· Joint Ventures (JV) & Strategic Partnerships: Structure and review JV agreements, ensuring robust protection of IP, clear profit-sharing mechanisms, and defined exit strategies in accordance with local and international law.

· High-Value Supply Chain & Vendor Management: Draft and vet complex procurement and vendor contracts for high-value capital expenditures, ensuring compliance with (where applicable) and international best practices.

· Corporate Governance & Compliance: Ensure the company remains in strict compliance with Securities and Exchange Commission of Pakistan (SECP) regulations, Competition Commission guidelines, and other statutory requirements.

· Risk Mitigation & Dispute Resolution: Identify potential legal exposures in global supply lines and recommend mitigation strategies. Manage high-stakes commercial disputes and coordinate with external counsel for international arbitration if necessary.

· Corporate Advisory: Provide nuanced legal opinions to senior leadership on domestic and international trade law, mergers, and acquisitions.

Required Qualifications

· Education: LL.B. from a reputable HEC-recognized or international university. LL.M. or Bar-at-Law is highly preferred.

· Experience: 8–12 years of progressive legal experience, with a significant focus on corporate advisory and international commercial law.

· Licensing: Must be an enrolled Advocate of the High Court with a valid license to practice.

Experience: 7 to 10 years of progressive experience in finance, with at least 3-5 years in a senior management role.

Core Competencies

· Advanced Contractual Expertise: Mastery of Incoterms, trade finance/LC structures, and multi-jurisdictional contract enforcement.

· Negotiation & Influence: Exceptional ability to represent the company in high-level negotiations with international partners and vendors.

· Strategic Thinking: Ability to align legal frameworks with commercial business goals to facilitate growth while minimizing risk.

· Regulatory Knowledge: Deep understanding of Pakistan's Foreign Exchange Manual, import/export laws, and corporate secretarial practices.

· Leadership: Proven track record of managing a legal team and external panel firms effectively.
