AGM/Senior Manager- Legal

* Experience: Minimum 9-12 years (having 2-3 experience in similar role)

* Job Summary:

We are seeking a highly skilled and experienced Legal professional to join our legal team. The ideal candidate will have a strong background in corporate legal matters, with a particular focus on drafting and reviewing a wide range of legal documents.

This role requires the ability to manage complex legal issues, support business transactions, fund raise(equity/debt)ensure regulatory compliance, and mitigate legal risks. Prior experience in a law firm will be considered a significant advantage.

Key Responsibilities:

• Draft, review, and negotiate a variety of legal documents including but not limited to:

Commercial agreements (NDAs, term sheet, engagement agreement , service agreements, vendor/supplier contracts)

• Joint venture and shareholder agreements
• M&A transaction documents
• Lease and licensing agreements
• Employment-related legal documents
• Provide legal advisory and strategic support on corporate governance, compliance, and risk mitigation.
• Support internal stakeholders by providing legal opinions day-to-day ensuring business activities are compliant with applicable laws and regulations.
• Liaise with external counsels, regulatory authorities, and law firms on complex legal matters.
• Keep abreast of legislative changes and proactively assess their impact on the business.
• Assist in developing internal legal policies, templates, and SOPs.
• Manage litigation, arbitration, and dispute resolution matters in coordination with external counsels.
• Handle legal due diligence and documentation for investments, acquisitions, or divestitures.
• Provide training and awareness sessions to internal teams on legal and compliance matters.

Key Requirements:

• Qualification: LL.B. (mandatory); LL.M. or additional corporate law qualifications preferred.
• Experience: Minimum 10 years of post-qualification experience in corporate legal functions.
• Strong command over contract law, corporate law, and regulatory frameworks.
• Demonstrated ability to draft, vet, and negotiate complex legal documents independently.
• Prior experience working in a reputed law firm or corporate is highly desirable.
• Excellent analytical, communication, and stakeholders management skills.
• Ability to manage multiple tasks and work under pressure with minimal supervision.
• High ethical standards, integrity, and professionalism.

Preferred Skills:

• In-depth understanding of Indian corporate and commercial laws.
• Exposure to cross-border transactions and international commercial law (preferred).
• Experience with compliance frameworks such as SEBI, RBI, FEMA, Companies Act, etc.
• Hands-on experience in legal documentation for fundraising, private equity, or structured finance.
