       Corporate Governance &amp; Strategy

    </strong>
    - Advise the General Counsel, the executive team, and the Board on corporate governance matters and fiduciary duties.

    - Support the Company and its Affiliates in connection with internal corporate matters, including preparing resolutions and Board presentations and maintaining corporate records.
    <br/>
    - Manage entity and subsidiary governance.
    <br/>
    <br/>

       Commercial &amp; Transactional Support

    </strong>
    - Lead negotiation of commercial agreements, including Master Services Agreements, O&amp;M Agreements, and other project related documentation, Non-Disclosure Agreements, SAAS contracts, licensing agreements, SREC Purchase and Sale Agreements, and vendor contracts.

    - Support service product launches and go-to-market activities.

    - Support M&amp;A, joint ventures, and investments including due diligence and integration.
