Job Responsibilities:Key accountabilities and decision ownership:<ul><li>Define the strategic legal direction for all Contracting &amp; advising functions in line with the company&rsquo;s Corporate and Legal strategies, the company's Way, and customer-centric values.</li><li>Supporting the company in the formulation of Guidance Notes, Policies and Contractual Forms &amp; Procedures, to reflect Contractual local mandatory terms &amp; applicable Egyptian Laws, in addition to the provision of internal legal support to Litigation and Compliance Teams regarding disputes, non-compliance issues and Policies awareness &amp; enforcement.</li><li>Playing Key Roles in the company's Legal Digital and Agile Transformation, along with Legal re-branding, by pursuing Proactive Approaches and maintaining a Business Model, in alignment with the company's Direction and Strategy, while playing a key role in the Cross-Functional New Projects Assessment Committee, through Early Involvement, Risk Assessment, and Providing Legal Opinions and continuous Guidance to the company's internal stakeholders. Lead Contract Management Across All Functions:</li><li>Oversee and manage all commercial, finance, technology, HR, and enterprise contracts.</li><li>Ensure consistent templates, risk controls, and compliance.</li><li>Provide legal advice on complex or high-value agreements.</li></ul>Drive M&amp;A and Corporate Transactions:<ul><li>Lead legal work for all mergers, acquisitions, joint ventures, and corporate restructurings.</li><li>Manage due diligence, negotiate transaction documents, and coordinate with external counsel.</li><li>Ensure compliance with Egyptian law and the Group governance.</li></ul>Governance, Compliance &amp; Senior Advisory:<ul><li>Advise leadership on legal risks, regulatory issues, and strategic initiatives.</li><li>Ensure corporate governance for entities, board matters, and legal compliance.</li></ul>External Legal Counsel Management:<ul><li>Select, oversee, and evaluate law firms supporting litigation, transactions, and specialized matters.</li><li>Ensure cost-efficient legal spend and high-quality external deliverables.</li><li>Manage the external law firm for litigation cases related to intellectual property rights and register the company's trademarks in accordance with the group policies.</li></ul>Job Requirements:<ul><li>High Expertise, Practice &amp; Strong Contracts Drafting skills, along with Excellent command of Legal English.</li><li>Legally qualified with significant experience gained in-house and prior to in-house at a leading law firm.</li><li>Commercial law, drafting and negotiating experience, with ability to provide innovative legal solutions in a fast moving industry.</li><li>Deep knowledge &amp; Practice of Amicable, Arbitration &amp; Litigation Dispute Resolutions methods.</li></ul>Work Location: In person
