The annual base compensation range for this role is between $190,000 and $215,000. You will also be eligible for an annual target 15% bonus and participation in our long-term incentive program.</p>

</p><p></p><p>The Corporate Counsel, Alliances will support Salesforce&rsquo;s Global Partnerships, AppExchange, and Alliances and Channels organizations by structuring, drafting and negotiating programmatic and strategic partner agreements. </p><p></p><p><b>Roles &amp; Responsibilities
</b></p><ul><li><p>Contract Execution at Speed: Lead, review, draft, and negotiate Salesforce partner agreements, including distribution, resale, strategic alliance and go-to-market agreements, under a fast turnaround time with intentional business collaboration.
</p></li><li><p>Strategic Leadership &amp; Teamwork: Collaborate with cross-functional stakeholders across the business (Global Partnerships account managers, revenue recognition, partner operations and others) to support the growth of the partnerships business through new programs, smart contracting and scaled processes.
</p></li><li><p>Lead &amp; Deliver Rapidly: Provide expeditious, business-savvy legal advice to support on-going partnership efforts while effectively managing legal risk and ensuring compliance across partner programs.
</p></li><li><p>Process Efficiency &amp; Innovation: Identify and implement legal process improvements to support rapid deal closure and creation of new partner programs. Assist in developing training materials and provide training to the business on relevant legal topics and best practices.
</p></li><li><p>Integration Of Partner Programs: Provide guidance and oversight to the M&amp;A and Corp Dev teams to integrate or wind-down partners of Salesforce acquisitions into Salesforce programs.

</b></p><ul><li><p>Undergraduate degree and law degree from accredited schools
</p></li><li><p>Admission to the bar in one or more states
</p></li><li><p>Minimum 5 years of legal experience, with strong focus on commercial contracting
</p></li><li><p>Strong negotiation and drafting skills, particularly in technology transactions.
</p></li><li><p>Strong organizational or project management skills.
</p></li><li><p>Excellent verbal and written English language communication skills, with the ability to engage effectively with internal and external stakeholders.

Position Summary:</b></p><p>
Do you have corporate experience that includes responding to requests from auditors? Are you looking to utilize your JD in a non-traditional role while still tapping into your corporate legal knowledge? Then you may be interested in our <b>Audit Attorney </b>position. This role is perfect for a licensed attorney who has audit response experience and wants to focus on the administrative tasks and manage the Firm's audit process.
</p><p>The Audit Attorney plays a critical role in the Firm's process in responding to requests from its clients' auditors. This position is responsible for reviewing financial records, legal documents and compliance reports and working with the Firm's attorneys to respond to all audit requests. Utilizing tools such as iManage, InTapp and Excel, the Audit Attorney works to ensure timely and accurate responses to the external auditors of the Firm's clients while maintaining client confidentiality and protecting attorney-client privilege.</p><p><b>
ESSENTIAL FUNCTIONS</b></p><ul><li>
Review audit requests, determine billing, review timekeepers' records, and gather necessary documents including legal files, corporate records, SEC filings, etc., to complete audits.</li><li>
Communicate with accountants, clients, the Firm's Audit Committee, the Firm's General Counsel's office, billing and/or timekeepers regarding the specifics of an audit response.</li><li>
Use iManage, InTapp, and other Firm software, create Audit Request Forms and notations while working with various departments, legal assistants, paralegals, etc. for information, and monitor responses for corrections and testing.</li><li>
Monitor timekeeper responses, revise content as needed and obtain clarification or additional information as needed.</li><li>
Draft and revise audit letters to comply with the Firm's risk/audit letter policies and procedures.</li><li>
Work with the relationship and/or reviewing attorneys to review drafts and make necessary revisions and finalize and send audit responses.</li><li>
Assist with other matters as requested by the Firm's Corporate and Securities Practice Group.</li></ul><p><b>
QUALIFICATIONS</b></p><p>
The Audit Attorney must have a minimum of 5 years of corporate experience, inclusive of responding to requests from auditors. A J.D. degree from an ABA-accredited law school and an active license in Illinois, New York or Ohio is required. The Audit Attorney must have strong familiarity with the audit process from start to finish and should be proficient in using iManage, InTapp, or similar programs, and MS Office. The Audit Attorney must be skilled at clearly articulating complex legal matters and issues and understanding the underlying principles in responding to clients' requests for information for their auditors. The Audit Attorney should possess a professional demeanor with outstanding interpersonal and client service skills, exceptional organizational and communication skills, and effective task prioritization.</p><p></p><p><br>
The salary range for this position is $107K to $140K.</p><p><i>
